General Terms & Conditions
The following terms and conditions are supplied to protect both the client & Connected ltd when entering into a project. We look to clearly convey certain processes so that expectations are aligned and procedures for various situations are outlined and therefore clear to both parties.
All projects require a 50% deposit prior to the commencement of a project. Payments are preferred via BACS (bank details can be found on our invoice) and receipt of deposits will be confirmed before work is undertaken.
2. Project Criteria
Prior to a project commencing we will establish criteria with the client which we should be expected to meet before final submission. This criteria will be mutually agreed on by both Connected Ltd and the client and is directly tied to the costing of the project.
3. Submission of projects
When Connected ltd submits a project we enter a ‘period of approval’. Within this time the client has 7 days to either a) approve the project, or b) request any changes, revisions to be made.
We welcome change requests within this time. 2 rounds of changes can be requested within this time if needed. Additional requests made beyond the second round may be chargeable at an hourly rate. This will be decided at our discretion.
For changes requested within this time we will endeavour to make them within 3 working days. In the event of changes being requested then the 7 days is frozen whilst we undertake any remedial work. When finished ,Connected ltd will notify the client and the period of approval will resume. It is up to the client to ensure they have made all the changes they require within that 7 day period. Any requests beyond that period will be invoiced as additional work on an hourly basis.
Code based changes will always be subject to additional charges if deviating from the agreed criteria.
4. Formats in relation to revisions
When a project submission is made, it will be supplied in its finished form & in the final format. For example a website will be supplied as a website (generally on a temporary URL), a video will be supplied in a standard video format etc. The client is expected inspect and to make any revision requests based on the material made available to them. Should the client wish to have it supplied in a format other than the format we are working to with the project itself, this is regarded as additional work and therefore invoiced based on an hourly rate. In such a situation we also reserve the right to decline a request for additional off format work without affecting the submission of the project.
5. Change Requests Defined
We welcome the client to request changes both during a project and within the period of approval. We understand that the development process is a fluid one and so endeavour to remain as flexible as possible. Requests in the following areas will fall into ‘swaps’, ‘cost extra’, or ‘either’. For it to fall into cost extra or either the subject matter may require addition to, or amendment to the core code of the website which is what will result in additional costs to the client. It is often the case that we can suggest a work around, alternative solution or compromise which will allow the required edit to be made without become a cost extra.

6. Going live
Some of the work we do will require more than the push of a button to deploy in a live environment once completed and signed off. This occurs after the ‘period of approval’ has closed and in the case of website project can take up to 48 hours to see live. This is due to the process of what happens when urls change or website databases are moved, that once actioned it takes a while for those changes to become ‘live’.
7. Deviation from project criteria
The following refers to procedure when criteria is either altered or has further requests added to it.
a)If the criteria for the project changes before work has been undertaken pertinent to that area of criteria then where possible, Connected Ltd will look to substitute the work without the incursion of extra cost to the client. Where this is not possible due to changes creating additional complexities, we will submit an estimate of additional cost to the client to review and subsequently allow them to agree to or cancel that change request. In the event that such changes will incur additional costs of 400gbp or greater, we will require a 50% deposit to be made for the revised total.
b)If the project has been submitted to its period of approval, minor changes can be made and will not be regarded as deviation from the project criteria.
c) If during the project or within the ‘period of approval’ requests are made in addition to the original criteria then the same process of quoting for additional work will be followed with 50% deposits required on additional costs of 400gbp or more.
8. Final Payment
Submission of the outstanding invoice will by which ever of the following happens first.
After the project goes live.
The 7 day period of approval expires.
All invoices are required to be settled within 14 days of invoice submission.
9. Right to withdraw
Connected Ltd maintain the right to withdraw from a project should we feel that after reasonable discussion ,any of the terms have been infringed on. Deposits are non refundable and if the project has been submitted to final approval, we reserve the right to invoice for the remaining balance if we can reasonably evidence that the mutually agreed project criteria has been met on our part.
10. ONGOING SUPPORT
We offer the option of retainers to handle ongoing maintenance of the website and/or content uploads. These are based on time spent handling the incoming requests from the client. The client can nominate to a) be charged on how much time is used on the requests they make month to month b) be charged a fixed amount covering an agreed amount of hours which Connected Ltd will no exceed so as to cap any outgoings of the client.
If no retainer is put in place, anything that arises after 14 days is chargeable on a case to case basis, based on an hourly rate with no cap available.
Agreement to the terms.
By entering into a commercial agreement with Connected ltd the client is accepting these terms for the provision of our services.
